1. Agreement to Terms

By accessing or using the Meridian Studio website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Services

Meridian Studio provides digital design, development, and strategy services. The specific scope, timeline, and deliverables for each project are defined in a separate Statement of Work (SOW) agreed upon by both parties before work begins.

3. Intellectual Property

Upon full payment of all invoices related to a project, the client receives full ownership of all deliverables produced during that engagement. Meridian Studio retains the right to display the work in our portfolio and marketing materials unless otherwise agreed in writing.

Third-party assets (stock photography, fonts, plugins) remain subject to their respective licenses. We will provide documentation of all third-party assets used in your project.

4. Payment Terms

All projects require a 50% deposit before work begins, with the remaining balance due upon project completion. Invoices are payable within 14 days of issue. Late payments may incur a 2% monthly charge.

For ongoing retainer arrangements, invoices are issued on the 1st of each month and are due within 14 days.

5. Project Changes

Changes to the agreed scope of work may result in additional costs and timeline adjustments. We will communicate any scope changes in writing and obtain client approval before proceeding with additional work.

6. Warranties and Liability

Meridian Studio warrants that all work will be performed in a professional manner consistent with industry standards. Our total liability for any claim arising from our services shall not exceed the total fees paid for the specific project in question.

We are not liable for indirect, incidental, or consequential damages arising from the use of our deliverables.

7. Termination

Either party may terminate a project agreement with 30 days written notice. In the event of termination, the client is responsible for payment for all work completed up to the termination date.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of a project. This obligation survives the termination of any agreement.

9. Governing Law

These terms are governed by the laws of New Zealand. Any disputes will be resolved through mediation in Auckland before proceeding to litigation.
